Terms of Service

Effective June 1, 2026

These Terms of Service ("Terms") govern your access to and use of WP Tender, a SaaS control plane operated by Kuvarssoft Technology ("we", "us", "Kuvarssoft"). By creating an account, paying for a plan, or installing the WP Tender Agent plugin on any WordPress install paired to your account, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. The service

WP Tender is a control-plane dashboard that lets you monitor, back up, restore, migrate and replicate WordPress sites through a companion plugin (the "WP Tender Agent") installed on each WordPress install you choose to manage. The service includes the website at https://wptender.com, the manager dashboards, the agent plugin, and supporting APIs.

2. Account & eligibility

You must be 18 or older, or the age of legal majority in your jurisdiction, whichever is higher.
You are responsible for safeguarding the credentials used to access your account. Treat the org-level activation token and Google OAuth refresh tokens with the same care you would treat a server password.
You must not create accounts using automated means or pretending to be someone else.
One human, one account. Service accounts are allowed for teams provided the email box is monitored.

3. Subscriptions, billing & refunds

Billing is handled by Freemius on our behalf. Your card details never touch our servers.
Paid plans renew automatically at the price displayed at the time of renewal unless cancelled at least 24 hours before the renewal date.
Each tier ships a 7-day trial. We may extend it once at our discretion in writing.
Refund window is 7 days from the first paid charge on any annual plan, no questions asked. Monthly plans are not refundable but can be cancelled to stop further charges immediately.
Taxes are your responsibility unless we are statutorily required to collect them in your jurisdiction.

4. Plan caps & service availability

Each plan exposes a hard maximum number of paired sites (Free 5, Starter 5, Pro 25, Agency 100). Sites beyond the cap will not pair until the customer upgrades.
Support quotas are soft. We will not silently throttle you, but tickets above the monthly cap may be queued behind paid customers.
We target 99.9% monthly uptime for the manager. If we fall short for two consecutive months we will credit the affected paid customers pro-rata on the next invoice.
WP Tender is not insurance against data loss. Maintain off-platform backups for irreplaceable data.

5. Your data & content

You own everything you bring into the platform: site content, backups produced by the agent, the WordPress databases pulled for migration and the replication payloads sent peer-to-peer.
We process your data strictly to operate the service. We do not sell, share for advertising, or build derivative products from your customer content.
Backup artefacts that land on Google Drive (or any other cloud provider you connect) are stored under your account at that provider. WP Tender holds only an OAuth refresh token to write into a folder you authorize.
You are responsible for the legality of the content you back up, migrate or replicate. Do not use the service to mirror or distribute content you do not have rights to.

6. Acceptable use

You must not, and must not allow anyone using your account to:

Use the service to attack, scan, or otherwise interfere with any system without explicit authorization;
Reverse-engineer, decompile, or attempt to extract source code from the manager or the agent except as permitted by applicable law;
Resell the WP Tender Agent plugin as a standalone product. (Managing client sites with it under your agency plan is, of course, the intended use.);
Use the service to host or transit unlawful content, including content that infringes third-party intellectual-property rights, content that promotes violence or discrimination, or content that violates the privacy of any natural person.

7. Plugins, third parties & open-source components

The WP Tender Agent bundles GPL-2.0+ code derived from Kuvarssoft Backup & Restore Pro and Kuvarssoft Continuity engines. The manager dashboard ships its own license. Third-party services we depend on include Freemius (billing), Cloudflare (CDN/DNS), Google (OAuth + Drive), and your hosting provider for the WordPress installs you pair. Their terms apply to your use of those layers.

8. Termination

You may cancel at any time from /subscriptions. After cancellation we retain your account state for 30 days so you can resubscribe without re-pairing every site.
We may suspend or terminate accounts that violate these Terms, that are subject to a chargeback we cannot resolve, or that ship the service into ongoing abuse. We will give written notice except where doing so would be operationally unsafe.
On termination we delete your manager-side data within 60 days. Local backups on customer infrastructure and cloud-stored artefacts at third parties are unaffected and remain in your control.

9. Disclaimers

The service is provided as is and as available. We make no warranty that the service will be uninterrupted, error-free, or fit for any particular purpose beyond what is documented. Backup and restore operations on WordPress installs are inherently destructive in the wrong sequence; you are responsible for validating restore points and for keeping independent off-platform copies of irreplaceable data.

10. Limitation of liability

To the maximum extent permitted by applicable law, in no event will Kuvarssoft Technology's aggregate liability under these Terms exceed the amount you paid us in the 12 months preceding the event that gave rise to the claim. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

11. Indemnity

You agree to indemnify and hold harmless Kuvarssoft Technology, its officers, employees and agents from any third-party claims arising out of (a) your use of the service, (b) your violation of these Terms, or (c) your violation of any rights of a third party.

12. Governing law & jurisdiction

These Terms are governed by the laws of the Republic of Türkiye. Any dispute arising out of or relating to these Terms will be brought exclusively in the competent courts of Istanbul, Republic of Türkiye, except where mandatory consumer-protection statutes in your jurisdiction grant you a non-waivable right to a local forum.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced at least 30 days in advance by email to your account address and through an in-dashboard banner. Continued use of the service after the effective date constitutes acceptance.
